Welcome to Just Cooked™ ("the App"), operated by Hyaico Ltd, 41 Woodcross Fold ("the Company", "We", "Our", or "Us"). These Terms and Conditions ("Terms") constitute a legally binding agreement between you and the Company governing your use of the App and Our services. By downloading, accessing, or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must immediately cease using the App and delete it from your device.

1. Definitions

• "App" means the Just Cooked™ mobile application, including all content, features, and functionality.
• "Content" means all information, text, graphics, photos, videos, software, and other materials available through the App.
• "User", "You", and "Your" refer to the individual accessing or using the App.
• "User Content" means any content, including images of ingredients, that you submit to the App.
• "Generated Content" means recipes, meal plans, or other content created by the App's AI technology.
• "Subscription" means any paid plan that grants access to premium features of the App.

2. Eligibility

• You must be at least 16 years old to use the App. If you are under 18, you must have obtained parental or guardian consent to use the App and accept these Terms.
• By using the App, you represent and warrant that you have the legal capacity to enter into a binding agreement under the laws of your jurisdiction.
• You affirm that you are not located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country, and are not listed on any U.S. government list of prohibited or restricted parties.
• If you are using the App on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

3. Subscription and Payment

• The App offers both free and subscription-based access with different tiers and features. Current pricing and payment terms are available on the subscription page within the App.
• By subscribing, you authorize Us or Our payment processor to charge your chosen payment method on a recurring basis according to your selected subscription plan. You must provide accurate and complete billing information.
• All payments are non-refundable except as expressly provided in these Terms or as required by applicable law. Your subscription will automatically renew unless canceled at least 24 hours before the end of the current billing period.
• We reserve the right to change our subscription fees at any time with reasonable notice. Any price changes will be communicated to you at least 30 days in advance and will take effect upon your next renewal date. Continued use of the App after price changes constitutes acceptance of the new prices.
• If your payment fails, we may suspend or terminate your access to premium features. You remain responsible for all charges incurred before termination.
• Free trials, if offered, are available to new subscribers only, unless otherwise specified. At the end of the free trial period, you will be automatically charged for the subscription unless you cancel before the trial ends.
• Promotional offers may be subject to additional terms disclosed at the time of the offer.

4. Account Registration and Security

• You must create an account to access certain features of the App. You agree to provide accurate, current, and complete information during registration and to update this information to keep it accurate, current, and complete.
• You are solely responsible for maintaining the confidentiality and security of your login credentials and for all activities that occur under your account. You must select a strong password and change it regularly.
• You agree to notify Us immediately at support@justcooked.app if you become aware of any unauthorized access to or use of your account or any other breach of security.
• We reserve the right to disable any user account at any time if, in our reasonable opinion, you have failed to comply with these Terms or if we suspect fraudulent or abusive activity.
• You may not share your account credentials with any third party or allow multiple users to access the App through a single account.

5. Use of the App

• The App allows you to:
  • Scan and log ingredients using your device's camera.
  • Generate AI-driven recipes based on available ingredients, cooking time, and preferences.
  • Track stored ingredients and expiration dates.
  • Save and organize recipes.
  • Share recipes with other users (if available).
• The App is provided for personal, non-commercial use only. Commercial use is strictly prohibited without Our express written permission.
• You may not:
  • Reverse engineer, decompile, disassemble, modify, or create derivative works of the App or any part thereof.
  • Interfere with or disrupt the App's security measures, servers, or networks.
  • Circumvent, disable, or otherwise interfere with security-related features of the App.
  • Use the App for any illegal, harmful, fraudulent, infringing, or abusive purpose.
  • Misuse the AI features or input inappropriate, offensive, or harmful content.
  • Use automated systems, bots, scrapers, or similar technology to access or extract data from the App.
  • Attempt to gain unauthorized access to any portion of the App or any other systems connected to the App.
  • Transmit any viruses, malware, or other harmful code through the App.
  • Engage in any activity that could disable, overburden, or impair the proper working of the App.
  • Use the App in any manner that could interfere with other users' enjoyment of the App.
• We reserve the right to monitor your use of the App to ensure compliance with these Terms.
• We may update the App from time to time, but are not obligated to provide updates or continue to support older versions.

6. Intellectual Property

• All content, trademarks, logos, software, designs, and intellectual property associated with the App (including AI models, algorithms, recipes, and code) are owned by Hyaico Ltd or licensed to Us. These materials are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
• You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial use only, subject to these Terms.
• You may not copy, modify, distribute, sell, lease, publicly perform or display, transmit, publish, edit, adapt, create derivative works from, or otherwise exploit any part of the App without Our prior written consent.
• The App name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Hyaico Ltd or its affiliates or licensors. You may not use such marks without Our prior written permission.
• Any feedback, comments, or suggestions you provide regarding the App may be used by Us without any obligation to compensate you.

7. User-Generated Content

• You may submit information, including images of ingredients, recipes, preferences, and other content to the App ("User Content").
• By submitting User Content, you grant Us a worldwide, perpetual, irrevocable, royalty-free, fully-paid, non-exclusive, transferable, and sublicensable license to use, copy, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display your User Content in any media or distribution methods now known or later developed, for any purpose, including to provide, promote, and improve the App's services.
• You represent and warrant that: (i) you own or have the necessary rights, licenses, consents, and permissions to use and authorize Us to use all intellectual property rights in and to your User Content; (ii) your User Content does not violate any third party's rights or applicable law; and (iii) your User Content is not fraudulent, false, misleading, or deceptive.
• We are not responsible for the accuracy, quality, or safety of User Content and make no representations or warranties regarding User Content.
• We reserve the right, without notice or liability, to remove, edit, or disable access to any User Content that we determine, in our sole discretion, violates these Terms, applicable laws, or is otherwise objectionable.
• We may use anonymized User Content to improve our AI models and services.

8. AI-Generated Content

• The App uses artificial intelligence to generate recipes and other content. All Generated Content is owned by Us.
• You are granted a limited, non-exclusive license to use Generated Content for personal, non-commercial purposes only.
• We do not guarantee the accuracy, quality, safety, or appropriateness of any Generated Content. You acknowledge that AI-generated recipes may contain errors, inaccuracies, or inappropriate suggestions.
• You are solely responsible for evaluating and verifying Generated Content before using or implementing it. We are not liable for any consequences resulting from your use of Generated Content.
• You may not represent Generated Content as your own or remove any attributions or notices associated with Generated Content.

9. Privacy and Data Protection

• We collect and process personal data in accordance with Our Privacy Policy, which is incorporated by reference into these Terms.
• By using the App, you consent to Our collection, use, and sharing of your data as described in the Privacy Policy.
• You are responsible for ensuring that any data you provide is accurate, complete, and up-to-date.
• You agree to comply with all applicable data protection and privacy laws when using the App.

10. Third-Party Services and Links

• The App may integrate with or provide links to third-party services (e.g., payment providers, social media platforms, AI services, or other websites).
• We are not responsible for the content, accuracy, policies, availability, or practices of any third-party services. Your use of third-party services is subject to their respective terms and conditions and privacy policies.
• We do not endorse any third-party services and provide any links or integrations for your convenience only.
• You acknowledge and agree that We shall not be responsible or liable for any loss or damage caused by your use of any third-party services.

11. Disclaimer of Warranties

• THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
• WE DO NOT WARRANT THAT: (A) THE APP WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; (C) THE APP IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE APP WILL MEET YOUR REQUIREMENTS.
• WE ARE NOT RESPONSIBLE FOR ANY DIETARY ISSUES, ALLERGIC REACTIONS, FOOD POISONING, OR OTHER ADVERSE EFFECTS CAUSED BY RECIPES, INGREDIENTS, OR COOKING METHODS SUGGESTED BY THE APP. YOU MUST INDEPENDENTLY VERIFY ALL GENERATED CONTENT FOR SAFETY AND APPROPRIATENESS.
• THE APP IS NOT INTENDED TO PROVIDE MEDICAL OR NUTRITIONAL ADVICE. CONSULT A HEALTHCARE PROFESSIONAL BEFORE MAKING SIGNIFICANT DIETARY CHANGES OR IF YOU HAVE ALLERGIES OR HEALTH CONDITIONS.

12. Limitation of Liability

• TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE APP; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE APP; (C) ANY CONTENT OBTAINED FROM THE APP; (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; OR (E) ANY OTHER MATTER RELATING TO THE APP, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE COMPANY HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
• IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE APP EXCEED THE AMOUNT PAID BY YOU TO US FOR USING THE APP DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR ONE HUNDRED POUNDS (£100), WHICHEVER IS GREATER.
• SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

13. Indemnification

• You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the App, including, but not limited to, your User Content, any use of the App's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the App.
• This indemnification obligation will survive these Terms and your use of the App.

14. Termination

• We may terminate or suspend your account and bar access to the App immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of these Terms.
• You may terminate your account at any time by contacting us at support@justcooked.app. Termination of your account may not automatically cancel your subscription; you must separately cancel your subscription through your app store account or payment provider.
• If you terminate your account or subscription, you will not receive any refund for any unused portion of a subscription.
• All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
• Upon termination, your right to use the App will immediately cease. We may, but are not obligated to, delete or archive any User Content upon termination.

15. Governing Law and Dispute Resolution

• These Terms and your use of the App shall be governed by and construed in accordance with the laws of England and Wales, without giving effect to any choice or conflict of law provision or rule.
• Any legal suit, action, or proceeding arising out of, or related to, these Terms or the App shall be instituted exclusively in the courts of England and Wales, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country.
• We encourage you to try to resolve any dispute informally by contacting us at support@justcooked.app. If we are unable to resolve the dispute informally within 30 days, either party may resort to formal dispute resolution.
• You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against Us. Any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
• Notwithstanding the foregoing, nothing in these Terms will prevent Us from seeking injunctive or other equitable relief in any court of competent jurisdiction.

16. Changes to Terms and the App

• We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. We will provide notice of any changes by posting the updated Terms on the App, sending you an email, or by other reasonable means. Any changes will be effective immediately upon posting or notification.
• Your continued use of the App after any such changes constitutes your acceptance of the new Terms. If you do not agree to the revised Terms, you must stop using the App.
• We may update, change, suspend, or discontinue any aspect of the App at any time without notice or liability.
• It is your responsibility to check these Terms periodically for changes. We will indicate at the top of this page when these Terms were last updated.

17. Force Majeure

• We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under these Terms that is caused by events outside our reasonable control ("Force Majeure Event").
• A Force Majeure Event includes any act, event, non-happening, omission, or accident beyond our reasonable control and includes in particular (without limitation) strikes, lock-outs or other industrial action, civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war, fire, explosion, storm, flood, earthquake, subsidence, epidemic, pandemic or other natural disaster, impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport, impossibility of the use of public or private telecommunications networks, and the acts, decrees, legislation, regulations or restrictions of any government.
• Our performance under these Terms is deemed to be suspended for the period that the Force Majeure Event continues, and we will have an extension of time for performance for the duration of that period.

18. Severability and Waiver

• If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
• No waiver by the Company of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

19. Entire Agreement

• These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the sole and entire agreement between you and the Company with respect to the App and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the App.
• Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party.

20. Assignment

• You may not assign, transfer, sublicense, or delegate any or all of your rights or obligations under these Terms without our prior written consent.
• We may assign, transfer, or delegate any or all of our rights and obligations under these Terms without your consent to any affiliate, successor in interest, or purchaser of our business or assets.

21. Export Control

• You agree to comply with all applicable domestic and international export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce, trade and economic sanctions maintained by the Treasury Department's Office of Foreign Assets Control, and the International Traffic in Arms Regulations maintained by the Department of State.
